Terms of Service

1 Agreement to Terms

By accessing or using the services provided by Weblora Studio LLC ("Company", "we", "our", "us"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services.

2 Services Provided

Weblora Studio LLC provides the following online web studio services:

• Web Design & UI/UX Design
• Corporate Website Design
• Landing Page Design
• User Interface and User Experience Design
• Prototyping and Wireframes
• Website Redesign Services

All services are provided on a project basis or as otherwise agreed upon in writing between the client and Weblora Studio LLC.

3 Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information necessary for project completion
• Respond to requests for feedback and approvals in a timely manner
• Provide all required content, materials, and assets as agreed
• Make payments according to the agreed schedule
• Respect intellectual property rights and licensing agreements
• Use our services in compliance with all applicable laws and regulations

4 Payment Terms

Payment terms will be specified in individual project agreements. Generally:

• A deposit may be required before work commences
• Invoices are due within the timeframe specified in the project agreement
• Late payments may incur additional fees
• Work may be suspended if payments are not received as agreed
• All prices are in USD unless otherwise specified

Refund policies will be outlined in individual project agreements.

5 Intellectual Property Rights

Upon full payment for services rendered:

• Client receives ownership of the final deliverables as specified in the project agreement
• Weblora Studio LLC retains the right to use project work in our portfolio
• Any pre-existing materials, templates, or tools remain the property of Weblora Studio LLC
• Third-party assets (fonts, stock images, plugins) are subject to their respective licenses

Detailed intellectual property terms will be specified in individual project agreements.

6 Project Timeline and Revisions

Project timelines are estimates and may be affected by:

• Delays in client feedback or content provision
• Scope changes or additional requests
• Technical complications or third-party dependencies

Revision rounds will be specified in project agreements. Additional revisions beyond the agreed scope may incur extra charges.

7 Confidentiality

We respect the confidentiality of client information and project details. Both parties agree to:

• Keep confidential information private and secure
• Not disclose sensitive business information to third parties
• Use confidential information only for the purposes of the project

A separate Non-Disclosure Agreement (NDA) may be executed for projects requiring additional confidentiality measures.

8 Limitation of Liability

To the maximum extent permitted by law:

• Weblora Studio LLC is not liable for indirect, incidental, or consequential damages
• Our total liability shall not exceed the amount paid for the specific service in question
• We are not responsible for third-party services, hosting, or platform issues
• Clients are responsible for maintaining backups of their content and data

9 Termination

Either party may terminate a project agreement:

• By mutual written agreement
• If the other party breaches these terms and fails to remedy within 14 days
• For non-payment or repeated delays

Upon termination, the client is responsible for payment for all work completed up to the termination date. Weblora Studio LLC will deliver all completed work upon receipt of payment.

10 Warranties and Disclaimers

We warrant that:

• Services will be performed with professional skill and care
• Work will be original or properly licensed
• We have the right to provide the services offered

However, services are provided "as is" without warranties of any kind, express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose.

11 Indemnification

You agree to indemnify and hold harmless Weblora Studio LLC from any claims, damages, or expenses arising from:

• Your use of our services
• Your violation of these terms
• Content or materials you provide
• Your violation of any third-party rights

12 Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Kentucky, United States, without regard to its conflict of law provisions.

Any disputes arising from these terms or our services shall be resolved in the courts of Kentucky.

13 Changes to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting on our website. Your continued use of our services after changes constitutes acceptance of the modified terms.

We will make reasonable efforts to notify clients of significant changes to these terms.
